    Corbin Enterprises LLC ("Corbin Enterprises," "we," "us," or "our") is a Tennessee-based business holding company that provides services including but not limited to: GoHighLevel (GHL) CRM implementation and agency services, custom website development, AI systems development and implementation, business automation consulting, revenue infrastructure strategy, and faith-based apparel through affiliated brands.

    These Terms of Service ("Terms") govern your access to and use of our website at corbinentp.net, as well as any services, products, proposals, contracts, or communications provided by Corbin Enterprises LLC.

    2. Acceptance of Terms

    By visiting our website, submitting an inquiry, signing a proposal or contract, or engaging us for any service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as any additional agreements executed between us. These Terms apply to all visitors, prospective clients, current clients, and anyone who interacts with Corbin Enterprises in any capacity.

    If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

    3. Services

    3.1 Scope of Services

    Corbin Enterprises provides professional services as agreed upon in individual written proposals, statements of work, service agreements, or contracts (collectively, "Service Agreements"). These Terms apply in addition to any such Service Agreement. In the event of a conflict between these Terms and a signed Service Agreement, the Service Agreement governs.

    3.2 Services Offered

    Our services include, but are not limited to:

    • GoHighLevel (GHL) CRM setup, configuration, automation, and ongoing management
    • Custom website design and development
    • AI agent development, chatbot configuration, and workflow automation
    • Business systems consulting and revenue infrastructure strategy
    • Email and SMS marketing sequence development
    • Sales funnel design and implementation
    • Brand strategy and positioning consulting

    3.3 Service Modifications

    We reserve the right to modify, suspend, or discontinue any service offering at any time with reasonable notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of services, provided we have fulfilled obligations under any active Service Agreement.

    3.4 No Guarantee of Results

    We provide professional services based on expertise, best practices, and our judgment. We do not guarantee specific business outcomes, revenue results, lead generation figures, conversion rates, search engine rankings, or any other performance metric. Results depend on many factors outside our control, including your business, market conditions, and your own execution.

    4. Client Responsibilities

    As a client or prospective client, you agree to:

    • Provide accurate, complete, and timely information necessary for us to perform our services
    • Respond to communications and requests within agreed-upon timeframes
    • Ensure you have all necessary rights, licenses, and permissions for any content, branding, or materials you provide to us
    • Not use our services for any unlawful, fraudulent, or harmful purpose
    • Keep login credentials, access codes, and account information confidential
    • Comply with the terms of service of any third-party platforms used in connection with our services (including GoHighLevel, Meta, Google, and others)

    You are solely responsible for your own business decisions, compliance with applicable laws, and any actions taken based on our recommendations or deliverables.

    5. Payments and Billing

    5.1 Payment Terms

    Payment terms are specified in each individual Service Agreement. Unless otherwise agreed in writing, invoices are due within the timeframe stated on the invoice. Corbin Enterprises reserves the right to require a deposit or advance payment before commencing work.

    5.2 Late Payments

    Invoices not paid within the agreed timeframe may be subject to a late fee of 1.5% per month on the outstanding balance, or the maximum permitted by Tennessee law, whichever is less. Corbin Enterprises reserves the right to suspend or terminate services for non-payment after providing written notice.

    5.3 Refunds

    Refund eligibility is determined by the terms of individual Service Agreements. Unless otherwise specified in writing, all fees paid for services already rendered are non-refundable. Setup fees, onboarding fees, and deposits are generally non-refundable. Disputes regarding billing must be raised in writing within 15 days of the invoice date.

    5.4 Taxes

    You are responsible for all applicable taxes, including sales tax, use tax, or VAT, associated with services rendered, unless Corbin Enterprises is required by law to collect and remit such taxes on your behalf.

    6. Intellectual Property

    6.1 Our Property

    All content on the Corbin Enterprises website, including text, graphics, logos, images, system designs, frameworks, templates, processes, and methodologies, is the property of Corbin Enterprises LLC or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without prior written permission.

    6.2 Client Deliverables

    Unless otherwise specified in a signed Service Agreement, upon receipt of full payment for a project, Corbin Enterprises assigns to the client all rights to the custom deliverables created specifically for that client (such as custom website code, copy, and design assets). Corbin Enterprises retains the right to use non-exclusive, general tools, frameworks, templates, and methodologies in future work for other clients.

    6.3 Your Content

    You retain all ownership rights to content, trademarks, logos, and materials you provide to us. By providing such materials, you grant Corbin Enterprises a limited, non-exclusive license to use them solely for the purpose of performing the contracted services.

    6.4 Portfolio Use

    Unless you request otherwise in writing prior to project completion, Corbin Enterprises reserves the right to display completed work in our portfolio, case studies, and marketing materials. We will not disclose confidential business information in such displays without your written consent.

    7. Third-Party Platforms and Services

    Many of our services involve configuration and use of third-party platforms including GoHighLevel, Meta Business Suite, Google Workspace, Shopify, Cloudflare, Netlify, GitHub, and others. Your use of these platforms is governed by their own terms of service and privacy policies. Corbin Enterprises is not responsible for the performance, availability, security, or actions of any third-party platform.

    Third-party platform fees (such as GHL subscription costs, ad spend, domain registration, or hosting fees) are separate from and in addition to Corbin Enterprises service fees, unless explicitly included in a written Service Agreement.

    8. Confidentiality

    Both parties agree to keep confidential any non-public information disclosed during the course of a business relationship, including business strategies, pricing, client lists, proprietary systems, and financial information. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

    Any formal non-disclosure agreement executed between the parties supplements but does not replace this general confidentiality obligation.

    9. Limitation of Liability

    To the fullest extent permitted by applicable law, Corbin Enterprises LLC, its members, managers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, loss of data, or business interruption, arising out of or related to your use of our services or website, even if we have been advised of the possibility of such damages.

    Our total cumulative liability to you for all claims arising out of or related to these Terms or any Service Agreement shall not exceed the total fees paid by you to Corbin Enterprises in the three (3) months preceding the claim.

    Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you in full.

    10. Indemnification

    You agree to indemnify, defend, and hold harmless Corbin Enterprises LLC and its members, managers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or related to: (a) your use of our services or website; (b) your breach of these Terms or any Service Agreement; (c) your violation of any applicable law or third-party right; or (d) any content or materials you provide to us.

    11. Disclaimers

    Our website and services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

    We do not warrant that our website will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any content on our website.

    Nothing on this website constitutes legal, financial, accounting, or tax advice. You should consult qualified professionals for advice specific to your situation.

    12. Termination

    Either party may terminate a service engagement in accordance with the terms of the applicable Service Agreement. In the absence of a specific Service Agreement provision, either party may terminate with 30 days written notice.

    Corbin Enterprises may immediately suspend or terminate services if you breach these Terms, fail to pay amounts owed, engage in unlawful conduct, or take actions that damage or threaten our reputation, systems, or other clients.

    Upon termination, all amounts owed for services rendered through the termination date become immediately due. Provisions of these Terms that by their nature should survive termination — including intellectual property, payment obligations, confidentiality, limitation of liability, and dispute resolution — shall survive.

    13. Governing Law and Dispute Resolution

    These Terms are governed by the laws of the State of Tennessee, without regard to its conflict of law provisions. Any dispute arising out of or related to these Terms or our services shall first be subject to good-faith negotiation between the parties. If negotiation fails to resolve the dispute within 30 days, the parties agree to submit the dispute to binding arbitration in Tennessee, unless either party seeks emergency injunctive relief.

    You agree that any claim must be brought in your individual capacity and not as a plaintiff or class member in any purported class action proceeding.

    14. Changes to These Terms

    We reserve the right to update or modify these Terms at any time. When we make material changes, we will update the effective date at the top of this page and, where appropriate, notify active clients by email. Your continued use of our website or services after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically at corbinentp.net.
